Statutory Compliance – The Foundation
Maintenance and updating of statutory registers (Members, Directors, Secretaries). Preparation and minute-taking for the Annual General Meeting (AGM) as well as board meetings. Timely filing of the Annual Returns with the Malta Business Registry (MBR).
2. Regulatory & Fiscal Governance – The Interface
Ensuring ongoing substance requirements. Reporting to the MFSA (for regulated entities) and updating the UBO register. Coordination with accounting teams, Maltese auditors, and regulatory authorities.
3. Corporate Secretarial Advisory – The Strategy
Advisory on amendments to the articles of association or capital measures. Legally compliant documentation of shareholder resolutions. Proactive alignment of your corporate structure with evolving regulatory frameworks (e.g., EU directives).
1. What exactly does the term "Corporate Maintenance" entail?
Answer: Corporate Maintenance is far more than mere bookkeeping. Maltese company law (Companies Act, Cap. 386) demands ongoing, strict governance to maintain the active legal status ("good standing") and the liability shield of your company. It serves as the institutional backbone of your corporate structure.Companies ActThose are mandates that every Limited company must fulfill strict formal and statutory reporting obligations to maintain its legal standing and its reputation (Good Standing). This includes maintaining the statutory registers (e.g., for members and directors), drafting and minuting board resolutions, and ensuring the timely, accurate filing of all statutory changes with the official registry of companies (Malta Business Registry, MBR).
2. What specific deadlines must I observe for the filing of the Annual Return?
Answer: Malta is unyielding here: Every company—regardless of whether it actively trades or functions as a pure holding entity—must submit an official annual status reportAnnual Returnto the Malta Business Registry. This report confirms the current capital structure, directors, and shareholders.
The statutory deadline for this is precisely 42 days from the anniversary of the company's registration (Incorporation Anniversary). If, for instance, your company was incorporated on the 15th of March, the statutory filing deadline strictly expires at the end of April.
3. What happens if I miss statutory filing deadlines in Malta?
Answer: The Malta Business Registry (MBR) penalizes delays and non-compliance strictly. If the annual return or annual accounts are submitted late, substantial penalties are imposed immediately, which accrue in the form of daily default penalties rapidly accumulating into several thousand euros.
If a company persistently ignores these requirements, the MBR may legally disqualify the serving directors (preventing them from holding any further directorships in Malta) or, as a measure of last resort, even strike the company off the register (Strike-off).
4. My Malta Limited is a dormant company or a pure holding entity. Do I still need to comply with these statutory requirements?
Answer: Yes, without exception. Maltese law makes no distinction in statutory compliance obligations between a multi-million-euro operational iGaming enterprise and a dormant holding company that has not executed a single transaction all year. Even for dormant entities, filing an Annual Return, submitting statutory audited financial statements (though simplified), and lodging annual tax returns remain mandatory and subject to strict statutory deadlines.
5. How quickly must I notify the authorities if internal changes occur within my company?
Answer: Very swiftly. One of the most frequent compliance mistakes made by international entrepreneurs is failing to notify the Maltese registry promptly regarding internal changes.
Any change in a director’s residence, appointment of a new managing director, or alteration in shareholding structures must be formally filed with the MBR by way of a shareholder resolution.
The rules are particularly strict for wiUBOs.Every change in the UBO structureshave to be reported within 14 days. nach Wirksamkeit gemeldet werden.
6. How does the law firmwork as a „Company Secretary“?
Answer: The Maltese law requires every Limitedto have a Company Secretary the Corporate Governance Officer, who is personally liable for compliance with these administrative obligations. Instead of having to monitor these highly complex compliance calendars yourself as an entrepreneur, our firm assumes this regulatory function on your behalf.
We act as your legal shield: we maintain the statutory registers, draft the necessarycorporate resolutions (drafting of resolutions), proactively monitor the 42-day deadline for the Annual Return, and ensure that all formal filings with the MBR are submitted flawlessly and on time. This allows you to focus entirely on your daily business operations.ren.
In an increasingly transparent regulatory environment, the proper administration of a company in Malta is not an administrative detail, but a matter of survival. Errors in record-keeping or delayed filings can jeopardize the company's reputation and lead to personal liability of its officers for omissions. Our approach at Kresse Law goes beyond merely 'filling out forms': We view ourselves as your Corporate Secretary, identifying risks before they arise.
We support you in the field of Corporate Maintenance & Compliance with legally sound planning, precise execution, and personal guidance in Malta.
