Answer:The incorporation process handled by a CSP generally takes, upon receipt of all complete KYC documents, up to 2 weeks.
a. Structuring & Name Verification
Determination of company objects, shareholder structure, and verification of the availability of the proposed company name with the MBR.
b. Compliance & Due Diligence (Onboarding)
The CSP reviews the client's submitted proof of identity and source of funds in accordance with MFSA requirements and executes a service agreement (Engagement Letter).
c. Drafting of Incorporation Documents
The CSP drafts the Memorandum and Articles of Association (M&A).
Preparation of statutory registration forms (including the UBO disclosure form).
d. Payment of Share Capital
Transfer of the required minimum capital into a client account (escrow account) of the CSP. The CSP obtains the necessary bank confirmation (deposit slip).
e. Submission and Registration with the MBR
The CSP submits the M&A, the UBO declaration, and the proof of payment via the MBR online portal and settles the registration fees.
Following review, the MBR issues the Certificate of Incorporation bearing a registration number (C-number).
f. Post-incorporation & regulatory registrations
Tax registration: Through our consultancy firm KME Consulting, we apply for the corporate tax number with the Commissioner for Tax and Customs (CFR) as well as a Maltese VAT identification number.
Bank onboarding: We assist with opening a corporate bank account with a traditional bank or an Electronic Money Institution (EMI).
