1. Pre-Transfer Audit
Comprehensive verification of the source of funds and wealth structure (Source of Funds & Source of Wealth) according to 2026 standards. Preliminary tax assessment of the transfer implications (preventing hidden profit distributions or triggering gift tax liabilities). Identification of mandatory regulatory approvals (e.g., Central Bank reporting or MFSA notifications).
2. Transaction Engineering
Drafting of legal transfer documentation (Asset Purchase Agreements, Deeds of Assignment). Coordination with the compliance departments of involved financial institutions to preempt red flags. Fiduciary and escrow services provided through licensed partners.
3. Post-Transfer Documentation
Seamless preparation of the transfer history for future audits and tax inspections. Reporting to relevant registries (e.g., UBO Register) to maintain strict compliance with transparency obligations. Ensuring long-term tax recognition of the asset transfer.
1. What is meant by a "Regulatory Asset Transfer"?
Answer: A Regulatory Asset Transfer refers to the legally sound, tax-compliant, and regulator-approved transfer of regulated assets, client portfolios, intellectual property rights, or entire business operations from one corporate entity to another.
Unlike a conventional asset purchase, the transfer of regulated assets (e.g., payment accounts, credit portfolios, fund shares, or crypto-custody assets) requires prior assessment and approval of the competent financial supervisory authorities (such as the MFSA, BaFin, FMA, or CSSF) to guarantee the seamless protection of investors and client funds.
2. What regulatory approvals are required for a portfolio transfer?
Answer: The approval process depends on the nature of the transferred assets and the participating entities:
Change of Control: If the transfer involves acquiring substantial business operations, the financial supervisory authority verifies whether the acquiring entity possesses the requisite license, mandatory regulatory capital, and adequate local substance and governance.
Customer and Investor Protection: The supervisory authority examines whether clients have been properly notified of the transfer and whether statutory cancellation or termination rights are strictly upheld.
Source of Funds & AML Audit: When transferring capital or asset pools, anti-money laundering authorities (such as the FIAU) require seamless, documented proof regarding the origin of all transferred assets (Source of Funds / Source of Wealth).
3. What must be considered when transferring digital assets and crypto portfolios under the EU Transfer of Funds Regulation (EU-TFR / Travel Rule)?
Answer: Since the entry into force of the revised EU Transfer of Funds Regulation (Transfer of Funds Regulation, TFR / Regulation (EU) 2023/1113), crypto-asset transfers are subject to the strictest transparency and identification obligations.
If a crypto-asset portfolio is transferred between service providers (CASPs) in the course of a corporate restructuring or M&A transaction, the unabridged identification details of both the originator and beneficiary must be provided for every single transaction (Travel Rule) must be transmitted alongside the transfer. For portfolios held in or transferred to/from Self-Hosted Wallets with a value exceeding €1,000, an enhanced proof of ownership (Ownership Verification) is required by law.
4. How can an asset transfer be structured to remain tax-neutral?
Answer: The transfer of assets between affiliated companies carries substantial tax risks (e.g., the realization of hidden reserves / built-in gains, hidden profit distributions, or triggering exit taxation / corporate disentanglement taxes).
To prevent an unnecessary tax burden, our tax analysis leverages European statutory exemptions such as the EU Merger Directive (Council Directive 2009/133/EC) or national transformation and reorganization acts (e.g., via share-for-share exchanges, demergers, or tax-neutral contributions in kind). A strict prerequisite in all instances is that every transaction complies fully with the international arm's length principle,) standhalten.
5. How are contracts and client agreements legally and effectively transferred to the new structure?
Answer: The civil-law transfer requires precise legal structuring. Depending on the articles of association and relevant jurisdiction, we utilize:
Novation (Transfer of Contract): The existing agreement is mutually agreed upon by all parties (transferor entity, transferee entity, and client) and formally substituted accordingly.
Assignment: Rights and revenue streams arising from contracts are assigned, provided that the underlying standard terms and conditions (T&Cs) expressly permit such assignment.
Universal Succession: In the context of structured statutory mergers or corporate transformations, all contracts, licenses, and liabilities transfer automatically by operation of law to the successor entity.
6. How does the firm support cross-border asset transfers?
Answer: We provide efficient project management at the intersection of corporate law, financial regulatory law, and tax law:
Regulatory Due Diligence: Comprehensive legal and tax due diligence of the asset portfolio to be transferred.
Regulatory & Authority Filings: Preparation of all formal application dossiers and representing your enterprise before financial supervisory authorities and commercial registries.
Contractual & Transaction Design: Drafting of all Asset Purchase Agreements (APA), Intercompany Transfer Deeds and GDPR-compliant client transfer agreements.
Post-Closing Compliance: Monitoring timely registry filings, license adjustments, and anti-money laundering (AML) regulatory notifications following the closing of the transfer.
