  • Frequently Asked Questions

1. Review and vetting of preliminary agreements (Konvenju)
Legally sound drafting of exit/cancellation clauses and deposit guarantees.

2. AIP Permits & Special Designated Areas (SDA) Advisory
Navigating acquisition restrictions for non-residents and leveraging Special Designated Areas (SDAs).

3. Ground Rent Analysis (Ċens)
Examination and redemption (*revisjoni u fidi*) of historical ground rent burdens (*ċens*) to prevent unforeseen encumbrances and ensure clear, unencumbered freehold title.

4. Comprehensive Notarial Support & Coordination
Oversight of the final deed of sale (Final Deed) and secure escrow administration.

Unlike the procedure in Germany or Austria, real estate acquisition in Malta is carried out in a two-stage process:

  • Preliminary Agreement (Konvenju)
  • Final Deed of Sale (Final Deed)

1. Are foreign nationals (EU and non-EU citizens) permitted to purchase real estate in Malta without restrictions?
Answer:In principle, yes; however, the legal prerequisites depend on the location of the property and the residence status of the buyer:

  • Special Designated Areas (SDAs): Within these state-designated luxury lifestyle developments (e.g., Portomaso, Tigné Point, SmartCity), both EU and non-EU nationals can acquire multiple properties without requiring a special government permit (AIP Permit) and may lease them out without statutory restrictions.
  • Except SDAs:
EU citizens (with at least 5 years of continuous residence in Malta): Unrestricted acquisition of immovable property without the need for an AIP permit.
EU citizens (residing in Malta for under 5 years): Permit-free acquisition of a single property intended as their primary residence. An Acquisition of Immovable Property (AIP) permit is required for any secondary or additional real estate acquisitions.
Non-EU nationals (Third-Country Nationals): Generally require an Acquisition of Immovable Property (AIP) permit (application fee approx. €233). Acquisition is limited to a single property and remains subject to statutory minimum purchase price thresholds.

2. What is a "Konvenju" (Convenju) and what is its legal significance?
The Konvenju is the legally binding preliminary agreement (Promise of Sale) pursuant to Article 1357 of the Maltese Civil Code (Chapter 16 of the Laws of Malta).

  • Purpose & Validity Period: It legally binds both the vendor and the purchaser to execute the final deed of sale (Final Deed) within the agreed validity period (typically 3 to 6 months).
  • Content: It establishes the purchase price, property specifications, term of validity, and deposit terms (customarily 10% of the purchase price, payable upon signing).
  • Conditions Precedent: The Konvenju protects the purchaser. It incorporates conditions precedent - such as securing formal bank loan approval, the issuance of the requisite AIP permit, or a clear and satisfactory outcome of notarial title searches. If any condition fails to materialize through no fault of the buyer, the agreement lapses without liability, and the deposit is refunded in full.
