1. Why is the Maltese flag considered the leading ship register in Europe?
Answer:: The Maltese ship register (Malta Flag) is the largest flag register in the European Union and ranks among the top registers globally. It is featured on the White List of both the Paris MoU and the Tokyo MoU. Yacht and vessel owners benefit from an internationally respected, politically stable EU register, flexible financing instruments recognized by major banks, and efficient administrative handling through Transport Malta.

2. Who can register a yacht under the Maltese flag?
Answer:: Both EU, EEA, and Swiss nationals as well as third-country nationals are eligible to register a yacht in Malta. While EU citizens may register a vessel directly under their individual name, the interposition of a legal entity is strongly recommended in most cases—and legally mandatory for non-EU citizens. This entity can take the form of either a Maltese shipping company (Malta Limited) or a qualifying foreign entity represented by a licensed resident agent in Malta.

3. What is the difference between provisional and permanent registration?
Answer:: To enable owners to deploy or transfer their yacht without delay, Malta employs a two-tier procedure:

  • Provisional Registration: Upon submission of the foundational documents (proof of ownership, application forms, seaworthiness), Transport Malta issues a provisional certificate, which is typically valid for 6 months.
  • Permanent Registration: Within this timeframe, certified original documentation (e.g., Bill of Sale, deletion certificate from the previous registry, Certificate of Survey / Carving and Marking Note) must be submitted, upon which permanent, indefinite registration is granted.

4. How does the Maltese yacht leasing model work under EU regulations?
Answer:: Under the Maltese yacht operating lease structure, a Maltese company (the lessor) acquires the yacht. Because the purchase or importation of the vessel is carried out exclusively for the purpose of a commercial leasing activity, the leasing company is entitled to an input VAT deduction or a VAT deferment. Consequently, the initial acquisition or importation of the yacht by the company is executed on a VAT-neutral basis.
Value-added tax (VAT) on the monthly lease installments applies only on a pro-rata basis for the actual time the yacht is used within EU territorial waters ("Use and Enjoyment" rules). By means of comprehensive GPS and technical logbook tracking, the lessee documents navigation outside the territorial waters of the EU, legally optimizing the effective VAT burden in full compliance with EU directives.

5. What tax advantages does a Maltese Shipping Company offer for charter yachts (commercial use)?
Answer:: For commercially operated superyachts and charter vessels, Malta offers substantial structural advantages:

  • Input VAT Deduction / VAT Neutrality: In the case of a commercial import or purchase of a charter yacht, import VAT can, subject to certain conditions, be deferred or fully neutralized.
  • Tonnage Tax Regime: Qualifying commercial vessels may fall under the Maltese tonnage tax system, whereby profits derived from shipping activities are exempt from standard corporate income tax and are instead taxed on a flat-rate basis according to the vessel's net tonnage.
  • Corporate Tax Refunds: Under standard corporate taxation, Malta's tax refund system (the 6/7 refund) applies, resulting in an effective tax burden of approximately 5% on operational charter income.

6. What does "Resident Agent" mean and why is it legally required?
Answer: If a yacht is registered not by a Maltese-resident EU citizen, but through a foreign legal entity, the Maltese Merchant Shipping Act strictly mandates the appointment of a local Resident Agent. This agent acts as the official, liable liaison between the vessel owner and Transport Malta, accepts formal service of process and official notices, and ensures full compliance with all annual filing and fee requirements.

7. What ongoing costs and fees apply to registration in Malta?
Answer:The costs comprise two components:

  • Governmental Fees / Registry Dues: A one-time registration fee and an annual tonnage tax/administrative fee payable to Transport Malta, calculated based on the vessel's gross tonnage (GT), overall length, and age.
  • Corporate & Administrative Maintenance / Ongoing Corporate Support:: Fees for the Resident Agent and law firm support, the provision of the registered office, as well as annual compliance and flag state filings.

8. How does Dr. Kresse International Law Firm assist throughout the entire registration and leasing process?
Answer:: As a specialized law firm based in St. Julian's, we offer yacht owners, shipyards, and family offices a comprehensive full-service solution:

  • Asset structuring: Selecting the optimal setup (private vs. commercial use, holding structure, lease agreement).
  • Setting up the Maltese corporate entity (Shipping Company / Operating Co.), drafting tailored articles of association, obtaining tax identification numbers, and establishing ongoing tax compliance. Company incorporation & tax compliance:Formation of the Maltese Special Purpose Vehicle (SPV), allocation of the VAT identification number (VAT-ID), and formal coordination with the Maltese tax authorities (Malta Tax and Customs Administration).
  • Liaison with Maritime Authorities / Regulatory Processing: Preparation of all required documentation, execution of the provisional and permanent registration with Transport Malta, and provision of the licensed Resident Agent.
  • Contract drafting: Drafting of charter contracts (MYBA standard), acquisition agreements (Bill of Sale), and ship financing and mortgage documentation.
